1. Acceptance of Terms

By accessing or using MinuteSmith ("Service") at minutesmith.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including visitors, registered users, and paying subscribers.

2. Description of Service

MinuteSmith is an AI-powered meeting minutes generation platform designed for HOA boards, condo associations, nonprofits, and other organizations. The Service allows users to input meeting notes and receive professionally formatted meeting minutes. MinuteSmith is operated by MinuteSmith ("Company," "we," "us," or "our").

3. Account Registration

To use the Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use of your account
• Be at least 18 years of age
• Not create accounts for the purpose of abuse, fraud, or circumventing usage limits

You are responsible for all activity that occurs under your account.

4. Subscriptions and Billing

4.1 Free Trial

New accounts receive a 14-day free trial with access to core features. No credit card is required to start. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.

4.2 Paid Plans

Paid subscriptions are billed monthly in advance. All prices are in USD. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

4.3 Cancellation

You may cancel your subscription at any time through the billing portal in your account settings. Cancellations take effect at the end of the current billing period. We do not provide prorated refunds for partial months.

4.4 Refunds

We offer a 7-day money-back guarantee for new paid subscriptions. To request a refund, contact support@minutesmith.com within 7 days of your first payment. Refunds are at our discretion after the 7-day window.

4.5 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price change takes effect for existing subscribers.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Upload content that is defamatory, harassing, threatening, or fraudulent
• Infringe on any intellectual property rights
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape or mass-download content
• Resell or sublicense access to the Service without our written permission
• Upload meeting content that contains sensitive personal data beyond what is necessary for official board records

6. Your Content

You retain ownership of all meeting notes, minutes, and other content you create or upload ("Your Content"). By using the Service, you grant MinuteSmith a limited license to process Your Content solely to provide the Service to you (including AI generation of minutes).

You are responsible for ensuring that Your Content does not violate any applicable law or third-party rights. You represent that you have the authority to submit meeting notes and create minutes records for your organization.

7. AI-Generated Content

The meeting minutes generated by MinuteSmith are AI-assisted outputs based on the notes you provide. You acknowledge that:

• AI-generated minutes should be reviewed and verified before official use
• MinuteSmith does not guarantee that generated minutes will be legally sufficient for any specific purpose
• You are responsible for reviewing, editing, and approving all generated minutes before they become official board records
• We are not liable for any legal, financial, or regulatory consequences arising from reliance on AI-generated minutes without proper human review

8. Intellectual Property

The Service, including all software, design, trademarks, and content created by MinuteSmith, is our exclusive property or licensed to us. These Terms do not grant you any rights to use our intellectual property except as necessary to use the Service for its intended purpose.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINUTESMITH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold MinuteSmith harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or non-payment. You may close your account at any time by contacting support. Upon termination, your access to the Service ends immediately. We may delete your data after a 30-day grace period following termination.

13. Governing Law

These Terms are governed by the laws of the United States. Any disputes arising from these Terms shall be resolved through binding arbitration under the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
