These Terms of Service govern your use of the MinuteSmith service operated by JES Ventures LLC (“MinuteSmith,” “we,” “us,” or “our”). By accessing and using MinuteSmith (“Service”), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

Permission is granted to temporarily download one copy of the materials (information or software) on MinuteSmith for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

Modify or copy the materials
Use the materials for any commercial purpose or for any public display
Attempt to decompile or reverse engineer any software contained on MinuteSmith
Probe, scan, test, or otherwise assess the vulnerability of any part of the Service or its infrastructure without prior written authorization from us
Remove any copyright or other proprietary notations from the materials
Transfer the materials to another person or "mirror" the materials on any other server
Violate any applicable laws or regulations
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of MinuteSmith

3. Disclaimer

The materials on MinuteSmith are provided on an 'as is' basis. We make no warranties, expressed or implied, and hereby disclaim and negate all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

4. Limitations

In no event shall MinuteSmith or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on MinuteSmith, even if we or our authorized representative has been notified orally or in writing of the possibility of such damage.

5. Data Security & Privacy

All user data is encrypted in transit (HTTPS) and at rest in our secure database (Supabase). We implement industry-standard security measures including:

Encryption in transit and at rest via our infrastructure providers
Role-based access control and session management
Rate limiting to prevent abuse
Logging of security-relevant events
Data retention policies as described in our Privacy Policy

6. Accuracy of Materials

The materials appearing on MinuteSmith could include technical, typographical, or photographic errors. We do not warrant that any of the materials on the website are accurate, complete, or current. We may make changes to the materials contained on the website at any time without notice.

7. Materials and Content

You retain all rights to any content you create using MinuteSmith. By uploading content to MinuteSmith, you grant us a license to store, process, and display your content solely for the purpose of providing the Service.

You agree not to upload content that:

Violates applicable laws or regulations
Infringes on intellectual property rights
Contains malware or harmful code
Constitutes harassment, abuse, or threats
Is obscene or sexually explicit

8. Limitations of Liability

Except where such exclusions are prohibited by law, we exclude liability for incidental or consequential damages arising from the use of MinuteSmith, including but not limited to lost profits, business interruption, or data loss.

Our total liability shall not exceed the fees you have paid in the preceding 12 months.

9. SMS & Electronic Communications

By providing a phone number and checking the SMS opt-in consent box within the Service, you expressly consent to receive Application-to-Person (A2P) text messages from MinuteSmith at the number you provide. These messages are transactional and operational in nature — meeting reminders, minutes approvals, and action item reminders — and are never promotional or marketing messages.

Consent is voluntary. You are not required to consent to SMS as a condition of using the Service.
Opt-out at any time. Reply STOP to any message or uncheck the SMS consent box in your board settings.
Message frequency depends on board activity — typically 2–10 messages per month.
Carrier charges may apply. Standard message and data rates may apply per your mobile plan.
TCPA compliance. We comply with the Telephone Consumer Protection Act (TCPA) and obtain prior express written consent before sending any SMS messages.
Twilio. Messages are delivered via Twilio, an FCC-registered A2P SMS provider with full carrier approval.

10. Modifications to Terms

We may revise these terms of service for MinuteSmith at any time without notice. By using this website you are agreeing to be bound by the then current version of these terms of service.

11. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the United States, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
